Subject to Section 6.5, the failure by any Indemnitee to so notify the Indemnifying Party shall not relieve the Indemnifying party from any liability that may have to such Indemnitee under Section 6.1 or 6.2, except to the extent that the Indemnifying Party demonstrates that it has been prejudiced by such failure.

在遵守第6.5条规定的前提下，受补偿方没有按照前述规定通知补偿方并不解除补偿方按照第6.1或6.2条的规定对受补偿方应承担的责任，但补偿方证明由于受补偿方未能产生上述通知而对其产生不利后果的除外。

The indemnity, release, holding harmless, defendance and protection obligations assumed in Article XX shall apply in respect of the full liability of the indemnitee for claims, notwithstanding the indemnitee may be entitled to contribution thereto from any other person and notwithstanding such liability may relate to negligence of a third party, provided that in such event the indemnifying party shall be fully subrogated to the rights of the indemnitee against such third party.

XX条款中所规定的补偿、免责、免受损害，抗辩以及保护义务适用于向被补偿人主张的全部责任，即使被补偿人有向他人主张的权利，即使这种责任可能与第三方的过失有关，但是在此等情况下，补偿人取得被补偿人向第三方主张的全部权利。

The Indemnitee shall not settle compromise any such third party claim or demand without the consent of the Indemnifying Party (not to be unreasonably withheld) unless the judgment or proposed settlement by its terms obligates the Indemnitee to pay the full amount of the liability in relation to such third party claim; releases the Indemnifying party completely in relation to such third party claim; does not impose an injunction or other equitable relief upon the Indemnifying Party; and dos not otherwise adversely affect the Indemnifying Party.

未经补偿方同意（如无正当理由不得拒绝同意），受补偿方不得对该第三方索赔或要求予以和解或妥协，除非判决或所提议的和解方案含有以下条款：受补偿方承担支付该第三方索赔的全部责任金额的义务；完全解除补偿方就该第三方索赔须承担的责任；没有对补偿方采取禁令或其它衡平法上的救济措施；和没有在其它方面对补偿方产生不利影响。
