ABSTRACT In the field of international trade, struggles between dumping and anti-dumping are always disharmonies in the development of trade. With the decrease of tariff and non-tariff measures, the noise seems to become more and more rasping.

在国际贸易领域，倾销与反倾销的斗争一直是贸易自由化进程中的不和谐音，且随着关税的降低，其他非关税壁垒的拆除，该噪音显得越来越刺耳。

Some opinions have been argued in this paper : Corporate reacquisition does not do harm to the foundation of company system ;the renew of corporate ideas and capital liberalization promoted the alleviation of rigid law on corporate reacquisition ;we should regulate it through limiting financial resources, procedure, etc; there exist such problems as primary corporate development, little reacquisition, brief related legislation, excessively rigid limitation and inadequate rules.

本文认为：股份公司取得自己股份并不危及公司制度的根本；公司理念的更新和公司资本运用的自由化促进了公司取得自己股份立法的缓和化；但应从取得财源、程序等方面对取得自己股份加以限制；我国股份公司发展处于初级阶段，有关取得自己股份的实践还不多，相关立法过于简略，在取得自己股份上限制过严和限制不足同时并存。

This paper analyses the National Treatment of foreign investment on the base of jurisprudence as the followings: The legal value of National Treatment is to secure non-discrimination and farsightedness, to create a relatively fair play field for the residenter and the foreigner in order to realize the liberalization of trade and investment.

本文结合这些问题从以下几方面对外资的国民待遇进行了基础性的法理分析：国民待遇的法律价值在于保障非歧视性和可预见性，为内资与外资创造一个相对公平的竞争环境，实现贸易与投资的自由化；它尚未发展成为一项如某些西方学者鼓吹的普遍性的国际义务，不管从事实上还是法律上，其都具有相对性与非义务性，是否给予外资国民待遇是一国的经济主权；国民待遇包含四项法律要素：客体、主题事项、参照规则和参照对象；超国民待遇具有合理合法性，在我国亦有其存在的必然性，不应一概取消，并且，从法理上讲，国民待遇涵盖了超国民待遇与差别待遇；《TRIMs协议》中的国民待遇在法律性质上仍属货物贸易的国民待遇，但具有授予外资国民待遇的效果，然而何种TRIMs应受其管辖，在国际上争议较大；GATS的国民待遇属具体承诺性质，它仅指外资进入东道国市场后的待遇，并且不只限于形式上的平等，更要求实质上的平等。

Especially some developed countries continue to lay down technical trade barriers with respect to technical to laws and regulations, technical standards and quality evaluation, taking advantage of the it advanced techniques, management and environmental protection, while they are sharing the convenience brought about by trade liberalization .It restrainer or hindered the normal forging trade of our country.

尤其是一些发达国家在享受贸易自由化带来便利的同时，凭借其在技术，管理、环保等方面的优势，不断设置技术法规、技术标准和合格评定为主要内容的技术性贸易壁垒，对我国正常的对外贸易产生了限制和阻碍作用。

WTO justify the right of nations to draft technology rules for reasonable purpose on condition that these measures can not be used indirectly as tools that limit international trade.

随着经济全球化和贸易自由化的发展，以技术法规和标准为核心的技术性贸易壁垒屡见不鲜，作为世界上最大的发展中国家，中国面临越来越多的贸易技术壁垒的挑战，建立并完善我国技术法规体系是发展的需要，是形势的要求。
