In order to enable the articles of incorporation to play its autonomous role fully, the investor and the operator should acquire the regulation consciousness, should formulate articles of incorporation which is suitable to its own company"s organization and management characteristic, its content should be clear and concrete.In corporate governance, the jurisdiction division between each organization and each agency must be explicit, in particular about the trustee, the supervisor, higher management"s authority, the voluntary and the responsibility stipulation both must arouse their enthusiasm, and must have the corresponding restraint mechanism, enable the company the benefit, shareholder"s benefit, in particular the smaller shareholder"s benefit to obtain the effective protection; simultaneously the articles of incorporation should manifest the corporate social responsibility, company"s benefit and counterparts" rights and interests should receive the corresponding value, this also is the need that a company realizes its benefit maximization.

为了使公司章程充分发挥其自治作用，投资者和经营者应树立章程意识，制定适合于本公司的组织和经营特点的公司章程，在公司的治理方面，公司章程关于各个组织机构之间的权限划分应具体明确，尤其是关于董事、监事、高级管理人员的职权、义务与责任的规定既要充分调动其积极性、又要有相应的约束机制，使公司的利益、股东、债权人的利益得到有效保护；同时公司章程应体现公司的社会责任，这也是公司实现其利益最大化的需要。

Through analysis and arrangement, the main points are listed as the following: First, the rule of power allocation of corporate organs related to compulsive rules should be directly manipulated under law, and those related to "autonomy of will" should be dealt with constitution mandated by the conference of shareholders, which should be stated clearly by law; Second, referring to the content of power allocation of corporate organs, the due difference allocation should be made for limited liability companies and joint stock limited liability companies respectively; Third, the law should confirm the theoretical and practical significance of the expansion of powers of the board of directors, which means division and re-arrangement of the company's powers; Forth, legislation should limit the dominant shareholders' rights in order to secure the automatic ability of company and improve the environment of corporate governance.

本文通过分析整理，得出主要观点如下：（1）公司机关权力配置规则，涉及属于公司"强行性"的规则应由法律直接规制，而属于"任意型"或"赋权型"的规则，可由股东大会授权以章程的形式解决，法律应明确确立该形式的合法地位；（2）针对公司机关权力配置的内容，法律应分别在有限责任公司和股份有限公司之间合理配置和差别配置；（3）董事会权力的扩大是公司权力的分化和权力内容的重新组合，法律应肯定其积极的实践意义和理论意义；（4）立法应限制控股股东的权力，充分保证公司的自治能力，从而改善公司治理结构环境。

The results of this study include:ⅠThe most demand factors of the staffs in general include (1)Job stability (2)sound working environment (3) nice relationships between superior and subordinate (4) suffocation family time (5) hominy relationship among staffs. Besides the Chinese Medical Doctors and Nurses emphasized on the opportunity of on job training and the ability of specialization. Those staffs owned graduate degree demand high automotive job.

整体而言，以（1）工作的保障与无虑的生活、2）良好工作环境、（3）良好的主管与部属关系、（4）与家人的相处时间、（5）和谐的同事情感，被列为工作相关因素需求最高之因素；其中医师与护理人员重视对自身「专业能力与进修的机会」，而拥有研究所学历的员工希望有「自主与自治性高的工作」显然与其学校养成教育有关，担任主管者则对「自我实现的成就感」有切身之需求。

Chapter three (the methods of generating chaotic signal and its applications): In this chapter firstly the mechanism that a simple kinetic system, subsection linear map system, can generate chaotic phenomena is affirmed, the characteristics of correlation function of the chaotic signal generated by this system are simulated, on this basis a simple applicable method for generating chaotic signal is given; secondly some typical circuits generating chaotic signal are designed, also use operational amplifier to design a third -order autonomous circuit with chaotic dynamics. The basic mechanism and typical structures of chaos in the application of communication are introduced systematically and a simple method is provided for generating pseudo random code signal; At last Chaotic signal is applied into the analysis of system characteristic.

第三章(混沌信号产生方法及其应用)首先针对一类简单动力学系统——分段线性映射系统能够产生混沌现象的机理及由该系统所产生的混沌信号的自协方差函数特点进行了证明和计算机仿真，提出了软件产生混沌信号的一种实用方法；其次分析讨论了几种能够产生混沌信号的典型混沌电路，提出了用运算放大器与阻容元件实现三阶自治混沌电路的基本原理；概述了混沌在通信领域中应用的基本原理和典型结构，提出了产生伪随机码信号的一种简单方法；最后将混沌信号用于系统的特性分析中。

作者认为，作为民族身份"名片"的服饰应以简明为原则尽量符号化、图案化、图腾化、商业化；作为活文化的仪式与习俗的传承，除了在经济发展的前提下以村寨为基本单位尽量保护和弘扬，要尽可能与生态环境和旅游胜地紧密结合进行单个文化主题的念珠式贯串开发，一地深入开掘一个文化内蕴，使之可以传之久远；依托教育、科研、翻译机构和文艺传媒、互联网传承新老文字及典籍文化，建立文博场馆保护金石文物；建立民族生态博物馆或民族文化村文化园等也不失为一种有效的方式；译解文化传承基因，培育核心发展优势，形成文化再生力传播力，是一条应该认真探索的道路；最重要的是要充分利用好民族区域自治政策法规，使之发挥的效益最大化，并从法律和政策上寻求最佳的传统文化传承策略。

These suggestions including that the court should use the clause restrainedly, the court should cautiously choose other alternative remedies to resolving the corporation deadlock, and there is only one remedy in new revised company law, which is not enough to resolve the different kinds of deadlock.

结合我国公司法对公司僵局的处理，在对公司法第一百三十八条进行分析、评述的基础上，指出我国法院应当在平衡公司自治与司法干预的关系、兼顾股东利益、公司利益和社会利益的平衡、适度把握维持公司原则、用尽内部救济等等原则的指导下，选择适宜的措施来解决公司僵局问题，如强制股权置换、公司分立等措施，文中还指出了我国选择公司司法解散的替代措施还存在的一些障碍。

The model generalizes the input-output function in transiently chaotic neural network to a class of continuous, differentiable and monotone increasing functions. Secondly we study the uniformly asymptotical stability of equilibrium in the non-autonomous model. Finally, several examples and numerical simulations are given to illustrate and reinforce our theories. In chapter 3, we firstly introduce a specific class of discrete-time neural network models with sinusoidal activation function.

在本文的第二章中，首先介绍了一类具有广义输入输出函数的非自治离散神经网络模型，该模型把瞬时混沌神经网络模型中的输入输出函数推广到了一般的单调递增且连续可微的函数；其次，利用Schauder不动点原理和利用Lyapunov函数逆定理依次证明了模型平衡点的存在性和该模型在时变权值下的一致渐近稳定性；最后，对几个具体的例子进行数值模拟，数值模拟的结果更好地说明了我们的结论。
