The current reform models of TECOPS have not solved those problems. To overcome these deffect, the author believes that MEPS should have been founded. To author's points, the key task of the reform of TECOPS is to make the capital of TECO distingushed and to set up the model that everybody's power and benefit would be definited by the quantity of their capital in market.

为了有利于优化企业股权结构和改善企业治理结构，论文认为设置企业职工集体股是不适宜的，对于社区集体股，应将半数以上的集体股划归社区集体成员个人，剩余部分的社区集体股，应通过改善经营管理和构造社区集体资产管理体系来适应企业改革。

The literature review is used to build research framework. 笔者认为MBO作为一种较为成熟的制度，其本身并不必然导致国有资产流失，但国内影响国有资产合理定价的客观因素多而复杂，国有资产转让价格高于或低于净资产未必合理，也未必不合理；国有资产流失的原因是在条件不充分的情况下，用不规范的方法实施MBO；某些企业作低价是因为考虑了内部职工尤其是优秀管理者的历史贡献因素；当前首要目标是改制，提高社会整体经济效益，应在合理范围内以法律形式明确管理层收购价格优惠制度，促进MBO的顺利进行。

Responding to the questions of the laborer's rights in our current corporate separation and taking account of the corporate self-government principle, the author suggests that we should establish inheriting system of labor contract, indemnity system for canceling the labor contract, priority of continuing to employ system, corporate social responsibility system and internal employee stock ownership system to fill the legal empty of the protection of laborer's violative rights in corporate separation in our labor law.

笔者针对我国现阶段公司分立中所涉及的劳动者权利问题，在兼顾公司自治权利的原则下，建议在我国现行法律法规中确立劳动合同承继制度、劳动者解除合同经济补偿金制度、公司分立时的优先留用制度、公司社会责任制度和内部职工持股制度，以填补我国劳动法在保护公司分立中劳动者权利受到侵害时请求保护其正当权利的法律空白。
