Article 152 Where a director or senior manager is under the circumstance as stated in Article 150 of this Law, the shareholder of the limited liability company or joint stock limited company separately or aggregately holding 1% or more of the total shares of the company may require the board of supervisors or the supervisor of the limited liability company with no board of supervisors in writing to file a lawsuit in the people's court.

第一百五十二条董事、高级管理人员有本法第一百五十条规定的情形的，有限责任公司的股东、股份有限公司连续一百八十日以上单独或者合计持有公司百分之一以上股份的股东，可以书面请求监事会或者不设监事会的有限责任公司的监事向人民法院提起诉讼；监事有本法第一百五十条规定的情形的，前述股东可以书面请求董事会或者不设董事会的有限责任公司的执行董事向人民法院提起诉讼。

If the supervisor is under the circumstance as stated in Article 150 of this Law, the aforesaid shareholder may require the board of directors or the acting director of the limited liability company with no board of directors to in writing lodge a lawsuit in the people's court.

If the board of supervisors does not perform this duty, a shareholder separately holding or the shareholders aggregately holding ten percent (10%) or more of the shares for a period of time over 90 consecutive days may convene and preside over such meetings by himself or themselves.

董事会不能履行或者不履行召集股东大会会议职责的，监事会应当及时召集和主持；监事会不召集和主持的，连续九十日以上单独或者合计持有公司百分之十以上股份的股东可以自行召集和主持。

If the board of supervisors does not convene or preside over such meetings, the shareholders separately or aggregately holding 1/10 or more of the shares may convene and preside over such meetings on their own initiative.

董事会不能履行或者不履行召集股东大会会议职责的，监事会应当及时召集和主持；监事会不召集和主持的，连续九十日以上单独或者合计持有公司百分之十以上股份的股东可以自行召集和主持。

That is, the check and balance between the shareholders' meeting and the board of directors, the check and balance between the board of directors and the manager layer, the check and balance between the board of directors and the supervisor meeting, the check and balance between the supervisor meeting and the board of directors adding the manager layer.

解决这一问题的关键在于建立四类有效的内部制衡机制：股东大会与董事会之间的制衡、董事会与经理层之间的制衡、股东大会与监事会之间的制衡及监事会与董事会和经理层之间的制衡。
