法律原理

There are seven main ideas of governing the country by law, they are:ruler must follow law; impersonalization of the supreme power; promotion of the form rationalization; re-defining the legal nature; the legitimate fundation of public power; the balance of public rights and personal rights; attatching importance on rights.

依法治国是近、现代法制文明所确立的一条基本公理，并与诸多重要的法律原则、原理和规范密切相联。其法理蕴义包括七个重要之点：治国者先受治于法；最高权威的非人格化；形式合理性的宏扬；法律性质的重新界定；公共权力的合法性基础；公共权力与个体权利的平衡；认真看待权利。

The purpose is to lay bare the essential principles of law and legal systems.

其目的是为彻底呈现法律及法律体系的基础原理。

The article summarizes the main character-istic skills for four aspects which has been shown in the Chinese government's cognition and practice about the legal system so far: the rationalism construction thought,the nationalism color, the operation pattern of "legis-lation centre-administration cooperation" and the simplism style,which have shaped an closed nature of con-structing legal system at present in an aggregation sense.

文章将迄今为止中国政府在法律体系认识和实践上的主要技术特征概括为四个方面，即理性主义的建构思路、国家主义色彩、立法中心一行政配合的运作模式，以及简约主义的风格，认为这些特征在集合意义上铸就了当下中国在法律体系建设上的某种封闭性质；主张就此进行深入反思，并从转型中国社会法治秩序形成的原理和要求出发，树立一种关于中国特色法律体系构建的开放性思考，作出相应的制度安排。

This article introduces the meaning and the characteristic of the voting trust , analyzes the establishment and the content of its legal relationship, then expounds the feasibility of the establishment of the voting trust of shareholder in China, and proposes the legal advice of establishing the voting trust system in our country.

However, in the practice of the administrative guidance such issues as ambiguity in law, non-criterion in procedure , distemperedness in responsibility and relief are obviously conflicting with the principle of Government by Law.

然而 ，现实中行政指导存在着的法律依据不明确、运行程序不规范、责任与救济机制不健全等问题与法治行政原理形成较为明显的冲突，因而必然提出对行政指导的法律控制问题。

The starting point of this thesis is, based on the current law and the relevant stipulations found in The Property Right, to provide a comprehensive analysis of the current right and supposed right of the collective construction land by combining nomological principles and economic principles, its flaws in the present way of circulation, and some solutions will also be offered.
