法律制度

The code is divided in to four books,namely, person, property,obligation and general provisions, which is one attempt to deal with the institutions of Common Law by the method of organizing the legal materials of Continental Law system,andit has some special characteristics both in the macrosco pical structure and in the concrete in stitutions.

Many countries gradually realized the important function of POBS,which plays a great role in restraining the disorderly competition and making a market order.Now,many market economy developed western nation confirmed POBS in the law.But the concrete implementation respectively has the difference according to various countries\' national condition.

各国逐渐认识到了竞业禁止制度在扼制无序竞争规范市场秩序中的重大作用，现在，许多市场经济发达的西方国家都已在法律上确认了竞业禁止制度，但具体的实施则根据各国国情各有不同。

The third part include two sections.The first section analysis several major problems existing in our country\'s system of POBS,basing on the first and second parts.The major problems includes following:the stipulation about the concept and suitable the condition of POBS is unclear,which provides the possibility of abuse;there is conflict between laws;laws are too principle to operate.

第二部分，此部分运用比较分析的方法，从在职竞业禁止、离职竞业禁止两种情形出发，即以英国、美国、德国、法国的相关法律为例对经济发达国家的劳动者竞业禁止制度予以阐述，又对我国劳动者竞业禁止制度现状进行了全面阐述。

Thus this paper will firstly describe the basic concept of exercising the recission right——the law recission and the recission right; then introduce the occurrence reason of the recission right detailedly, and the procedure and effect of exercising the recission right, and so on; finally ,this paper puts more emphases on the improvement of exercising the recission right system.
