我们在上帝面前共同立誓签约，自愿结为一民众自治团体。为了使上述目的能得到更好地实施、维护和发展，将来不时依此而制定颁布的被认为是对这个殖民地全体人民都最适合、最方便的法律、法规、条令、宪章和公职，我们都保证遵守和服从。据此于主后l620年11月11日，于英格兰、法兰西、爱尔兰第十八世国王暨苏格兰第五十四世国王詹姆斯陛下在位之年，我们在科德角签名如下。因为这一段文字，第一次从民众的角度阐述了国家权力的来源：国家是民众以契约的形式合意组建的，国家的公权力来自于民众所度让的部分权利的组合。法律实施的真正力量源于民众对于国家法律合法性与公正性的认同，出于对法律的敬畏而自愿服从，而不是慑于国家暴力。

针对这些问题，笔者相应地提出了一些对策建议，即明确&债转股&三方的法律地位，制定&资产管理公司特别法&，建立法律约束机制，重视和完善公司治理结构等方面，从而完善法律环境，解决&债转股&的法律问题。作为政策性&债转股&，尚无现成经验可借鉴。商业银行&债转股&是盘活银行不良资产，促进国有企业转换机制的一项重大举措。

Based on Chinese legal institution and comparing the legal definition of trust receipt in many countries ,this paper focuses on properly understanding the legal feature of trust receipt and assumes trust guarantee and transferring guarantee to create the legal relationship of trust receipt transaction in the future after learning the advanced legislation for reference .

本文立足于我国法律制度，通过比较各国信托收据的不同法律涵义，集中探讨如何借鉴先进国家的做法来重新认识信托收据的法律性质，并提出以让与担保和信托担保重构我国信托收据制度的法律设想。

第四章着重关注了在我国法律制度和框架下银行从事信用证融资所具有的独特的法律风险，并对融资银行在进口押汇、信托收据、票据承兑、信用证议付中的法律风险作了详细分析，在此基础上对降低融资银行法律风险、完善制度设计提出了相关建议。

Chapter 3 analyses the relationship between the performing party during carriage of goods by sea and the carrier as well as the cargo owners. It shows that the performing party during carriage of goods by sea is in dual legal status, i.e. on the one hand it is the independent contractor or sub-contractor of the carrier, and on the other hand it is a tort-feasor against the cargo owners.

第3章分析了海上货物运输中的履约方与承运人以及与货方的关系，指出海上货物运输中的履约方在海上货物运输复杂的法律关系中具有双重的法律地位，一方面它与承运人之间存在一般的商业合同关系，是承运人的独立合同人或分合同人，另一方面它与货方之间存在侵权的法律关系，处于侵权行为人的法律地位。
