第二章考察了习惯法的特征与价值，认为习惯法的主要特征有：&地方性&、稳定性、表现形式多样性、身份和神灵依附性、解纷方式特殊性、法制不完备性等；习惯法的价值则集中表现在对弥补国家法的供给不足和促进国家法的完备上。
