A Either Party at its option may terminate this Agreement with respect to the Equipment to be delivered hereunder which is undelivered on the effective date of such termination, by giving the other Party written notice as hereinafter provided if, and at any time after, the other files a voluntary petition in bankruptcy, or proceedings in bankruptcy are instituted against the other and it is thereafter adjudicated bankrupt pursuant to such proceedings, or a court takes and retains for a period of at least sixty(60) days jurisdiction of the other and its assets pursuant to proceedings under the provision of any reorganization act, or the other is adjudged insolvent, or a receiver of the other's assets is appointed on account of insolvency and is not discharged within a period of sixty (60) days, or the other makes a general assignment for the benefit of its creditors.

No consent, licence, approval or authorization of or filing or registration with or other requirement of any governmental department authority or agency in the jurisdiction in which each of the Vendors and the warrantor is registered is required by the vendors and/or the warrantor in relation to the valid execution, delivery or performance of this agreement (or to ensure the validity or enforceability thereof) and the sale of the sales shares.

关于协议的有效执行、交付、履行(或确保其有效性和执行性)，或者可买卖股票的销售等事宜，卖主和/或担保人无需获得其任何一方注册地管辖区内的任何政府职能部门或代理的同意、特许、批准或授权，无需在政府职能部门或代理处进行备案或登记，也不用满足政府职能部门或代理的其他要求。

3 No consent, licence, approval or authorisation of or filing or registration with or other requirement of any governmental authority or agency in any jurisdiction which is applicable to the Warrantor, any Group Company or any Associated Company is required by the Warrantor, any Group Company or any Associated Company in relation to the valid execution, delivery or performance of this agreement and/or the Investor Rights Agreement (or to ensure the validity or enforceability thereof).

5.3 在可适用于担保人、任何集团公司或任何联营公司的任何司法管辖权中，关于本协议和/或投资者权利协议的有效执行、送达或履行（或关于保证强制执行力的有效性），担保人、任何集团公司或任何联营公司并不需要任何政府部门或机构的同意、许可、批准、授权、备案、登记或其他要求。

本人/吾等假若於香港滑水总会举办或安排之任何活动中不幸导致个人或他人身体损伤或死亡、或任何财物损失，或任何器材损毁、损坏、损失，一概不会向香港滑水总会，或与香港滑水总会合办之机构，或香港滑水总会及有关合办机构之执行委员、工作人员、职员及会员等作出任何形式之追究行动，谨此声明。
