PartⅥ: The Development of Regionalization and Its Inspirer To our Country According to current conditions of the development of regionalization, our country should keep both policies of multilateralism and regionalism, sticking to the principle of global free trade, making full use of WTO to develop our country's economy. Meanwhile, we should keep good relationship with big regional blocs, and trying to build up regional institutions with other countries. Now our country has already built up related regional institutions with some nations in East Asia, but this is still far not enough.

六、区域化的发展和我国的启示针对目前区域化的发展现状，我国应实行坚持多边化和区域化双管齐下的方针，继续坚持全球自由贸易的理念，充分利用WTO这一多边贸易的平台发展本国经济；同时与世界上大的区域集团保持良好的关系，努力寻求建立区域制度，我国已经与东亚的一些国家建立了相关的区域制度，但这还远远不够。

In response to this issue, the author is start from the reality of the Chinese accountability system, analyzing its fundamental intendment and theoretical foundation; and then demonstrating the significance in the execution of administrative accountability in our nation; in addition dissertating the real whole state of accountability system nowadays and its imperfection in enactment.

针对这一问题，笔者从我国行政问责制度建设的现实出发，从行政问责制的基本概念入手，分析了行政问责制度相关概念，讨论了行政问责制度的理论基础，进而剖析我国行政问责制度实施的现状以及在实施中存在的问题，阐述了我国问责制其本身存在的弊端。

On the basis of an analysis of the present profile of automobile consumer credit in China,a discussion is done on the meaning of its development. This thesis introduces the development of the market of automobile consumer credit overseas, and finds out the reasons why overseas automobile consumer credit leads to the successful development of automobile industry. It also analyses the causes of the slump in the market of automobile consumer credit in the country in aspects of influential elements such as economy,policies,society,consumption norms and so on. It has a deep discussion on some obvious problems in this field. For example,the market of automobile consumer credit is of no scale; the prices of automobiles are high; taxes are heavy and expenses are too much; average residents still have low income and no definite balance between income and predicted expenses; there is no perfect social credit system and individual credit system; there is not enough awareness of credit among the public. Taking theories in the area of industrial economics into consideration,it proposes basic measures of promoting the development of consumer credit in China: building up a credited society,a perfect and sound personal credit system.With credit database as the platform,all parties will be able to share information,improve the credit database,relevant regulations and laws as well as a risk warning system,thus operation and management of the operating entities will be improved,the cost of the practice of consumer credit will be reduced; strengthen the innovation of present financial system,develop financial products corresponding to different groups of customers,improve services,perfect the mode of "bank+insurance+automobile agents",make full use of the interne,adopt the practice of turning credit into securities.

本文在我国现阶段汽车消费信贷现状分析的基础上，对大力发展汽车消费信贷的意义进行了讨论；通过分析国外汽车消费信贷市场的发展概况，解析出国外汽车消费信贷促进汽车产业发展成功的原因；从影响汽车消费信贷市场发展的有关因素如经济环境、政策环境、社会环境和消费习惯等方面分析了我国汽车消费信贷市场现状低迷的症结所在；对中国汽车消费信贷市场的一些明显问题，如汽车消费市场尚未形成规模，汽车价格偏高，税费和使用费用负担沉重，相对较低的居民收入与预期收支不确定，社会信用体系尚未建立，个人信用制度缺失，公众信用意识淡薄等方面进行了深入探讨；立足于产业经济学理论，提出了构建信用社会，建立健全和完善个人信用体系，建立个人资信评估机构和登记制度，引入专业的资信中介机构，以信用数据库平台为基础，各方共享资源，组建客户信用数据平台，完善法规制度建设，建立健全汽车信贷消费的法律体系，建立风险预警机制，提高汽车消费信贷经营主体的经营管理水平，降低汽车信贷业务成本，加大金融制度创新的力度，开发适合不同消费群体的金融产品，提高服务质量，完善"银行+保险+汽车经销商"的汽车信贷模式，充分利用互联网、实行贷款证券化等促进我国汽车消费信贷发展的基本措施。

Chinese company law could be improved through unification of legal norms, clarification of the meaning of terms, and supplement of correlative regulations; Modeling on German and Japanese law, limited norms should be adopted for the object of right to address inquiries. Chinese company law should re-locate the object of right to address inquiries to matters related to topics of general meeting of shareholders. Objective standard should be adopted. Third, by incorporating elements such as beforehand written inquiry, Chinese company law could be further perfected in the area of time, venue, representation and reproduction of right of access to documents. This is a conclusion based on thorough research and summary of practice of various countries. Fourth, the author pointed out the international trend of relaxation of objective limits and specification of subjective limits, and proposed the standards for limitation and the distribution principle of inversion of burden of proof.

以德国、日本法为例，说明质询权客体原则上采限制规范，建议我国公司法可将质询权客体重新定位为与股东会会议议题有关的事项，且判断的标准采客观标准；第三，通过对各国及各地区立法行使方式的具体规范进行总结，认为我国公司法可从时间、地点、代理、复制等方面对查阅权行使方式进行完善，引入事前书面质询、设立说明义务免除等制度对质询权行使方式进行构建，使具体制度更具可操作性；第四，根据各国及各地区立法客观性条件限制逐渐放宽及主观性条件限制更加具体的趋势，结合我国公司法规定，对客观条件限制进行了探讨和设定，提出主观条件限制概括加列举的立法模式及举证责任倒置的分配原则。
