The following is a letter that recently appeared in the Oak City Gazette, a local newspaper.Membership in Oak City's Civic Club—a club whose primary objective is to discuss local issues—should continue to be restricted to people who live in Oak City. People who work in Oak City but who live elsewhere cannot truly understand the business and politics of the city.

前提是不成立的，因为决定right的最重要的不是是不是住在这个地方而是能不能提供对改地区有帮助的建议以及对该地区的热爱，很可能住在这个地方的人反而没有什么好的建议，而恰恰是在这边工作的人比较有思想，有更多的好点子。

Firstly, the soil samples are gathered from the same section such as surface layer soil samples gathered from 0cm to 15cm depth and representation on studied object. Secondly, the precondition of tested samples must be the same. This study indicates that the tested samples must be 1mm diameter, over-dried at 40℃ for 24h and airtight cooling for 24h before measured for air-dry samples, and softly planish the surface at measuring. Lastly, the illuminating condition of light must be the same. This study indicates that the testing geometric condition are light source angle 15°, light source distance 30cm and sensor distance 15cm for soil hyperspectra indoor. The surface of white reference must be the same plane of that of sample.

第一个环节的"相同"是指田间土壤样品采集时的剖面位置一致，如表层土都采集0～15cm深度范围内的土壤，且所采集的样品应能尽量具备研究对象的代表性；第二个环节的"相同"是指土壤制备过程中的一些前处理条件应一致，建议土壤光谱测试样品的粒径1mm，风干土壤样品测试前在40℃恒温条件下烘24小时，然后密闭冷却24小时，测试时土壤表面进行稍稍压平处理；第三个环节的"相同"是保证测试光照条件的一致性，建议在50W卤素灯、8°探头角条件下，采用15°的光源照角度、30cm的光源距离和15cm作为室内士壤高光谱测试几何条件，测试时除遵循光谱测试指南的要求外，还须保证参考板表面与测试土壤样品的表面在同一平面上。

The themes of this thesis are as the following: chapterⅠdiscusses the differences between a material information and an inside information, and then points out the legislative error of the insider trading regulation in Taiwan; chapter II briefly introduces the legislative evolution of the Article 157－1 of Securities Exchange Act in Taiwan; chapterⅢ points out the source of law of the "insider trading" regulation and its punishability; chapter Ⅳ analyzes the "insider trading" regulation based on the criminal "Tatbestand" theory in Taiwan.

本文的架构如下：第一章，主要在说明重大消息与内线消息的不同，并点出现行证券交易法对於内线交易规范的立法错误；第二章，简介证券交易法第157条之1的立法沿革；第三章，探讨「内线交易」构成要件及其「可罚性」的法律依据；第四章，则是本文的重心所在，即以我国的刑事构成要件理论剖析「内线交易」构成要件，并同时以法治国刑事法的法理探讨其相关解释、适用疑义暨重新检讨其立法妥当性，乃至於提出修法建议；第五章，评析内线交易的若干实务见解；第六章，则是本文结论与内线交易相关修法建议──以刑事责任为限。

We can mak use of the combination of two policy. Suggestions: In order to improve RUD in rural areas of China and RUD researches, the researcher suggested: 1.Pay more attention to the manager's impact on improving RUD and make use of its paradigm and leading impact. 2.Apply ten core interventions including STG and EDL. They are applying STG, applying EDL, developing a drug management department and perfecting its function, educating health workers, supervising and checking up the use of drugs, developing independent drug information system, carrying out public education, economic interventions, improving the work rate of drug use and health workers by ensuring sufficient budget. 3. Make use the pressure of applying the new-type CMS and apply many types of interventions to improve RUD in rural areas.

建议：为进一步促进农村地区合理用药，完善农村地区合理用药研究，建议： 1、重视乡镇卫生院院长在促进合理用药中的作用，充分发挥其示范、带动作用； 2、实施以临床诊疗规范、基本药物目录为主的十条核心干预措施，具体包括：实施临床诊疗规范、实施基本药物手册、建立医院药事管理机构，完善相关职能、开展医务人员培训、开展用药督导和审核、建立独立的药物信息提供体系、开展药物的公共教育、经济措施、保证政府投入以提高用药和医务人员的工作效率； 3、利用实施新型农村合作医疗制度的压力机制，综合使用多种措施协同促进合理用药； 4、多部门协作共同促进农村地区合理用药，由合作医疗和医疗救助等保障制度管理部门、财政部门、卫生行政部门、药品监管部门、工商行政部门、物价部门、媒体等共同参与，各司其责，共同促进农村地区合理用药； 5、在合理用药评价研究中应密切注意农村地区药品利用不足问题，建立正确的评价假设； 6、构建适合我国国情的完善的合理用药干预措施效果评价指标体系，加强标准值研究。

First, on the hand of litigation, the world is moving towards a more normative solution in the jurisdiction, adjudication and execution of lawsuits concerning shareholders rights. China should bring in litigations concerning right to address inquiries as a remedy to the imperfection of law. The scope and object of adjudication of court should be determined by the nature of case. Ways to perfect specific provisions in the area of jurisdiction, time limit, preservation measures as well as execution are also proposed in the paper. Second, on the hand of non-litigation, scrutinizer as a means of non-litigation is neutral and order of investigation is convenient. Non-litigation should be brought into Chinese company law as a supplement of litigation.

第一，各国及各地区立法在股东知情权诉讼的管辖、审理及执行等方面的规范更加完善，重点结合我国司法实践中股东知情权诉讼的争议，认为应当建立质询权诉讼机制弥补法律的缺失，依据知情权诉讼的本质确定法院的受理范围及审理对象，探讨通过完善股东知情权理论基础确定诉讼的被告，同时对诉讼中具体规范如管辖、诉讼时效、保全措施及执行等方面的完善提出建议；第二，检查人选任制度作为非诉讼救济方式具有中立、全面的特点，调查令方式具有方便的优势，从而建议我国公司法可引入非诉讼救济方式作为诉讼救济方式的补充。

There are three key points of innovation in this paper. 1.After analyzing Japanese corporate culture by Hofstede's theory of cultural dimensions, the paper analyzes the characteristics of communication in Japanese corporate. And by the background of the current Chinese situation and human nature, it further discusses the new needs of internal communication in Japanese companies in China. 2.According to the needs, the paper gives some new practical solutions such as to build the channels for communication on the"per-department"basis. Also, it testifies the necessity and feasibility of these solutions by a questionnaire. 3.The author uses the concrete analysis of K Co., one of her research projects, to draw implications for building the efficient internal communication.

本文在现有研究成果的基础上主要有三个创新点：一是通过霍夫斯塔德的文化维度理论分析了日本企业文化特点，指出了相应的日本企业内部沟通上的独特性，并基于中国现阶段人性特点，提出了在华日企不同于传统日本企业的沟通上的新要求；二是针对这些要求提出了建立以部门为基本单位的沟通渠道等一系列新建议，并用调查问卷的方式对这些建议和措施进行了必要性和可行性验证；三是将本文得出的研究成果应用于笔者所在的工作单位K企业，运用本文观点进行了具体的案例分析，并参与制定了加强和完善K企业内部沟通的策略和措施。

The third part: with the reference of teaching practice, first, it is emphasized that the rural junior Chinese teachers should have the modern education idea, strengthen their study, improve themselves and at the same time have the strong scientific research consciousness. Next, it is suggested that the government and educational administration department must consider the shortage of education funds, have the correct idea about rural talent and quality, that parents should change their backward ideas, correctly guide their children, care more about children's growth. Third, the rural junior students'interest in composition should be mainly stimulated from the following aspects: why do the rural junior students have to write, desalinating the composition concept, the composition teaching should be suited to the rural junior students

第三部分：结合教学实践，首先强调农村初中语文教师必须树立现代的教育理念，加强学习，不断提高自身的素质，同时要有较强的作文科研意识；其次，建议政府及教育行政部门必须考虑农村基础教育的经费不足的问题，树立正确的农村人才观、质量观，建议家长改变落后的观念，多引导、关心子女的成长；第三，着重从农村初中学生什么要写作文，淡化作文概念，作文教学要切合农村初中学生的实际，联系社会生活，利用学生的好奇感，创造农村学生作文成功的机会，成立作文&互助&小组等方面来激发农村学生作文兴趣；第四，着重从扩大农村学生阅读面，开阔视野，引导农村学生摘录、背诵、写日记、办手抄报和开设信息交流课，同时指导农村学生观察农村独特风貌，指导农村学生开展社会实践活动等途径来扩大农村学生校内外作文素材的积累；最后，着重根据农村学生的实际，狠抓识字、写字训练和口语训练，并通过范文引路，指导农村学生多练和作文评改等方面来提高农村学生的作文水平。

Empirical results indicate that all three hypotheses of this study sustained: Hypothesis 1—"career development" and "training" in the enterprise repatriation program has positive influence on the affective organizational commitment of repatriates;"career development" has positive influence on the normative organizational commitment;"career development","training" and "compensation and benefit" has positive influence on continuance organizational commitment; Hypothesis 2—"conscientiousness" and "neuroticism" has positive influence on the affective organizational commitment;"conscientiousness" and has positive influence on the normative organizational commitment;"neuroticism" has positive influence on the continuance organizational commitment; and Hypothesis 3—"openness to experience" and "emotional stability" can enhance affective organizational commitment when "career development" is implemented by the organization;"openness to experience" can enhance affective organizational commitment when "training" is implemented by the organization;"conscientiousness" can reduce continuance organizational commitment when "career development" is implemented by the organization;"emotional stability" can reduce continuance organizational commitment when "compensation and benefit" is implemented by the organization; and "extraversion" can reduce continuance organizational commitment when "job arrangement" is implemented by the organization.

实证结果显示，本研究三大假设皆达部份成立，第一假设：企业施行回任措施中的「前程规划」与「教育训练」将可提升回任人员情感性组织承诺、施行「前程规划」将可提升规范性组织承诺、施行「前程规划」、「教育训练」与「薪酬管理」将会提升持续性组织承诺。第二假设：回任人员「严谨性」与「情绪稳定性」特质可提升回任人员情感性组织承诺、「严谨性」特质可提升规范性组织承诺、「情绪敏感性」特质将会提升持续性组织承诺。第三假设：「严谨性」与「情绪稳定性」特质对组织施行「前程规划」可提升情感性组织承诺、「开放的学习性」对「教育训练」施行可提升情感性组织承诺、「严谨性」对「前程规划」施行可降低持续性组织承诺、「情绪稳定性」对「薪酬管理」施行可降低持续性组织承诺、「外向性」对「工作安排」施行可降低持续性组织承诺。兹就上述结果提供对企业与后续研究者的建议。对企业的建议为：1。企业在回任措施中应加强前程规划的设计：企业除了就短期的薪酬与工作安排条件让回任员工愿意留任，亦应思考如要让回任员工能够投入工作中，长期的规划与发展不可缺少。2。外派人员人格特质甄选工具的运用：为了能找到具备严谨性、情绪稳定性与开放的学习性特质的人选，甄选用的工具即扮演著十分重要的角色，可利用人格特质测验、面谈等甄选工具。
