Seller and buyer concur in the principle that this contract shall be carried out between the two parties with fairness and without detriment to the interests of either party,and if in the course of the performance of the contract any infringement of this principle is anticipated or disclosed,then seller and buyer shall promptly confer in the good faith with each other to agree upon such an action as mat be necessary to remove the clause or clause of such infringement.

买方和卖方也赞同合同的实施是建立在双方公平对任何一方无利益损害的原则上，如果在履行合约过程中发现任何将会有违反这个原则的情况发生或者被揭露，买方和卖方应立刻达成去除此条款或去除条款中引起违合约的地方的友好协议

The payment of liquidated damages shall not release the Seller from its obligation to deliver the delayed equipment.

在卖方未能按照规定的装运日期进行交付的情况下，卖方应每周按照误期设备价格的0.5％的比率支付预定损害赔偿金。

With the exception of late delivery or nondelivery due to "Force Majeure" causes, if the Seller fails to make delivery of the goods in accordance with the terms and conditions, jointly or severally, of this Contract, the Seller shall be liable to the Buyer and indemnify the Buyer for all losses, damages, including but not limited to, purchase price and/or p urchase price differentials, dead-freight, demurrage, and all consequential direct or indirect losses.

因"人力不可抗拒"而推迟或不能交货者除外，如果卖方不能交货或不能按合同规定的条件交货，卖方应负责向买方赔偿由此而引起的一切损失和遭受的损害，包括买价及/或买价的差价、空舱费、滞期费，以及由此而引起的直接或间接损失。

Force Majeure: The sellers shall not hold any responsibility for partial or total nonperformance of this contract due to Force Majeure. But the sellers shall advise the buyers on time of such occurrence.

人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约的，卖方概不负责，但卖方应将上述发生的情况及时通知买方。
