I where Shares of the same class are admitted to the Official List of the UK Listing Authority, the middle market quotation of a Share (as derived from the London Stock Exchange Daily Official List) for that day or, if the Option Committee so decides on or before the Date of Grant, the average of the middle market quotations for the five immediately preceding Business Days; or
