书面协定

For purposes of this Agreement,"Confidential Information" means any information or materials disclosed to or received by Recipient or any of its affiliates, whether in writing or orally or by visual observation, which relates to the business or activities of Cree or any of its affiliates or subsidiaries and is not generally known to the public, including but not limited to manufacturing processes and equipment, product specifications and designs, technical know-how, business and marketing plans, financial information, customer and supplier data and research and development activities.

就本协定的目的，"保密信息"是指任何信息或披露的材料，或接受方或其任何联属公司收到的，无论是书面或口头或视觉的观察，涉及的业务或Cree公司或其任何活动联营或附属机构通常不会向公众，包括但不限于制造工艺和设备，产品规格和设计，技术诀窍，商业和营销计划，财务信息，客户和供应商的数据和研究与发展活动。

本担保人同意按下列条件承担和履行担保义务，即无论在任何时期借款人不能偿还到期的全部或部分本金、利息费用等，无论你财务公司是否按贷款协定的规定对借款人采取了法律行为、本担保人在接到你公司发出的借款人违约书面通知后，在五个工作日内无条件向你公司支付上述担保金额和应由借款人承担的利息和费用，你公司也可通过正常法律途径主动扣收我财政局单位帐款。

所有由香港百滙金业公司发出的报告书、确认书、通知及任何其他档，均根据本协定所列通讯位址（包括但不限於电邮位址、电话或传真号码或电传号码，或按客户其后以公司接纳之方式书面通知公司之位址）、电邮位址或电话号码发予客户（如为联名帐户而未提名代表人，则就此规定而言将发予名列本协定附件首位之客户），客户如变更通讯位址，必须在变更后壹个月内以书面形式通知香港百滙金业公司，否则一切由香港百滙金业公司发给客户的档均根据本协定所列通讯位址发出。无论以电子邮件、一般邮件、电报、电话或其他方式发出，均视为客户已收到。
