个案

For the mode of legislation, it is suggested that a principle regulations to be made while the detailed applied situation and conditions are specified further in judicial explanation; regarding the applied situation, give four kinds of examples as shortage of capital, mixing of company, property of shareholders, business and personality, avoid the liability of contract and legal liability using of company personality; when making judgment, such three parts as main body, action and results have to be considered. The voluntary creditor and forced creditor consists of prosecutor, those person who abuses the force of company is the defendant who has the act of abusing company personally resulting in bad effect; the responsibility of producing of evident may refer to those of courts of Germany, which is proved by prosecutor, after that, the defendant provides the evident that he has a proper action for the suit of company or his action is not the direct cause for the loss of company; the legal effect of disregarding of corporate personality is to deprive the rights of limited liability of shareholders and shall undertake the affiliated liability according to different situations of company debts, however, it is clear that the legal effect is only limited to the special legal relationship in the specific case; the exercising body is made by court while the corporate personality might not be disaffirmed directly in exerting process; finally, it points out the real essence and also its real sense and difficulties in practice.

对立法模式，建议成文法中只做原则性规定，而具体的适用情形、适用条件等规定可以在司法解释中进一步作出明确规定；对适用情形，根据我国实际列举了资本显著不足、公司与股东财产、业务、人格的混同、利用公司人格规避契约义务和逃避法律义务四种大类；审判时应考虑的要件包括主体、行为、结果三大要件，自愿债权人和非自愿债权人构成原告，对公司有控制力的滥用者为被告，要有滥用公司人格的行为，并有损害的结果产生；举证责任可参照德国法院的做法，由原告提供初步证据证明公司存在滥用公司人格的行为，而后，由被告提供证据证明自己与涉诉公司的关系是正当的，或自己的行为与原告的损失没有因果关系；否认公司人格的法律效果是剥夺股东在个案中的有限责任的权利，视不同情形对公司债务承担连带责任，但应明确法律效力仅限于个案中的特别法律关系；行使主体应由法院的审判庭行使，而不宜在执行程序中直接否认公司法人人格；最后对逆向揭开公司面纱作了探讨，指出其现实意义和实践难点。

The main references of this study are published by the government, and are presented in five sections based the five key events:(1) the period after the abolition of martial law;(2) the period that Teacher Education Policy had been implemented;(3) the period of educational policy evolution;(4) the period that reediting of Teacher Education Law and (5) the period that Teacher Certification had been implemented. 在个案部分，本文经参阅与本个案相关之政府出版品、计画报告，以重要事件发生为区分点，将国内师资培育政策分为政府解除戒严时期、师资培育法推行时期、教育改革开放时期、师资培育法修正时期及教师检定考实施时期五个阶段，并分别叙述与比较各阶段中各师资培育政策历经多元师资培育管道、确立专门学分认定、确定领域课程设计、具体实施实习制度、落实辅导学生措施及实施评鉴制度作用的转折。

二、本研究在个案银行之使命陈述下，分析评估其内部环境、外部产业竞争环境及总体环境，归纳出其竞争策略形成要素图，当个案银行综合考量三大环境之各要素重点，将有助於其策略形成，可作为银行特定竞争策略制定与修正之参考。

The author collected data by using comprehensive assessment and pencil-talking from January 8 to February 15, 2007 and identified chronic pain, impaired tissue integrity, and death anxiety of the case problems. For chronic pain, sleeping pillow with cold water, massage lymph and acupoints of head and neck, music and aroma therapy were used to release symptoms of the case pain. For impaired tissue integrity, during wound care, normal saline and furacin gauzes were used to wet-packing to release wound bleeding, and tree oil aroma put into the covering gauze to release the smelling, and used duoderm and low-allergic tapes to protect the skin around the wound.

笔者於2007年1月8日至2月15日期间藉由整体性护理评估及笔谈方式收集资料，确立个案有慢性疼痛、组织完整性受损、死亡焦虑等问题；针对慢性疼痛问题，采睡凉水枕、头颈部淋巴及穴位按摩、音乐及精油辅助疗法等措施来缓解个案的疼痛症状；针对组织完整性受损问题，於伤口护理时，选择生理食盐水湿纱和furacin纱布进行伤口湿敷，以缓解伤口出血，并於外层敷料加入茶树精油缓解伤口恶臭，同时运用人工皮及低过敏胶带来保护伤口周围皮肤。

The author not only points out the person who examined and approved with the Chinese translation of "Preface for the integral translation of Science and Civilisation in China" and made so many big mistakes in the finalized manuscript for printing because of his empty of qualified English proficiency, of right study-style, and of moral behavior, moreover points out the three big wrong actions in carrying the translation program as a whole - to make SCC Translation and Publication Committee, Academia Sinica, exist in name only; to carry on the fast-food culture policy; and, to act against the right principle, that is, the abilities of the revisers is not higher than the translators and abilities of the finalizers is not higher than revisers.

在进入正文之前，想对此计划缘起略加介绍。我发现已刊SCC全译本已出几册的译文质量令人堪忧，错讹太多，远没有达到卢嘉锡博士在&中译本序&中也指明翻译出版全译本的目标。为供后续各卷册汉译借鉴，一位朋友建议我去纠正全译本已出各册的错讹。我接受了这个建议，计划按卷册顺序进行。本文选择SCC全译本&作者序&而不是第一卷正文作为我的个案研究的首案，另一原因是&作者序&在第一卷卷首。必须指出，经第二审定人终审定稿的第一卷其他部分和第二卷同样存在错讹。我将陆续从SCC全译本前两卷及其他已刊各卷册选取典型个案，评析谬译原因，这项工作不仅可供该译本尚未出版的各卷册的译校审者参考，而且，我发现，还能为笔者个人早就想做的翻译心理学研究提供绝好的素材。
