一方

"Affiliate" shall mean in the singular or plural, any company, entity or business enterprise which controls or which is controlled by, or otherwise under common control with, a Party hereto and "control" shall mean direct or indirect ownership of more than fifty percent (50%) of the voting stock or other indicia of ownership of the controlled company, entity or enterprise or the direct or indirect authority to elect a majority of the Board of Directors or its equivalent, or to manage the business or affairs of such controlled company, entity or enterprise.

"关联公司"应指控制本合同一方的或由本合同一方控制的或与本合同一方同受控制的任何公司、实体或企业；"控制"一词指直接或间接地拥有受控制的公司、实体或企业百分之五十(50%)以上的有表决权股份或其它形式的所有权，或直接或间接有权选举董事会或其同等组织的多数或管理该受控制的公司、实体或企业的业务或事务。

五、缔约国一方居民转让其在缔约国另一方居民公司资本中的股份、参股或其他权利取得的收益，如果取得该收益的人在该转让行为前12个月内，曾经直接或间接参与拥有该公司至少25%的资本，可以在缔约国另一方征税。

Should any Party be directly prevented from executing this Agreement or be delayed in performing this Agreement by any event of force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events, the happening and consequences of which are unpreventable and unavoidable, the affected Party shall notify the other Parties without delay and, within fifteen (15) days thereafter, provide detailed information regarding the events of force majeure and sufficient proof thereof, explaining the reason for its inability to perform or the delay in the execution of all or part of this Agreement.

如果任何一方因不可抗力事件，如地震、台风、水灾、火灾、战争、其发生和后果不可预防和不可避免的其他意外事件的直接影响，而不能履行或延迟履行本协议，受影响的一方应立即通知另一方，并在此后十五(15)日内提供有关不可抗力事件的详情和足够的证明材料，解释其不能履行或延迟履行本协议的全部或部分条款的理由。

Either party may terminate this Contract if the other party fails to fulfill or perform any of its obligations hereunder in the event that such failure remains unremedied sixty(60)days after the service of a written notice by the party to the defaulting party specifying the failure in question and requiring it to be remedied.

如果一方未能完成或履行其在本合同项下的任何义务，而且未能在另一方向该方送书面通知，指出该方违约行为并要求该方予以改正后六十（60）天该方仍未予以改正，另一方则可以终止本合同。本合同的终止，不得解除任何一方在终止到期应履行的任何义务。

If, whatever a man's real intention may be, he so conducts himself that a reasonable man would believe that he was assenting to the terms proposed by the other party, and the other party upon that belief enters into the contract with him, the man this conducting himself would be equally bound as if he had intended to agree to the other party's terms.

四、缔约国一方企业的资本全部或部分，直接或间接为缔约国加一方一个或一个以上的居民拥有或控制，该企业在该缔约国一方负担的税收或者有关条件，不应与该缔约国一方其它同类企业的负担或可能负担的税收或者有关条件不同或比其更重。

Enterprises of a Contracting State, the capital of which is wholly or partly owned or controlled, directly or indirectly, by one or more residents of the other Contracting State, shall not be subjected in the first-mentioned State to any taxation or any requirement connected therewith which is other or more burdensome than the taxation and connected requirements to which other similar enterprises of the first-mentioned State are or may be subjected.

五、缔约国一方企业的资本全部或部分，直接或间接为缔约国另一方一个或一个以上的居民拥有或控制，该企业在该缔约国一方负担的税收或者有关条件，不应与该缔约国一方其他同类企业的负担或可能负担的税收或者有关条件不同或比其更重。

Payments which a student or trainee who is or was immediately before visiting a Contracting State, a resident of the other Contracting State and who is present in the first-mentioned State solely for the purpose of his education or training receives for the purpose of his maintenance, education or training shall not be taxed in that State, provided that such payments arise from sources outside that State.

一、学生或实习生是、或者在紧接前往缔约国一方之前是缔约国另一方居民，仅由于接受教育或培训的目的，停留在该缔约国一方，对其为了维持生活、接受教育或培训的目的收到的来源于该缔约国以外的款项，该缔约国一方应免予征税。
