Party B agrees that in the event it continues to operate or subsequently begins to operate any other business , in addition to the requirements set forth in Section V of this Agreement, it will not use, or permit, participate in or aid the use of any reproduction, counterfeit, copy or colourable imitation of the Products, Proprietary Equipment or Samples, either in part or in whole, or the Marks in connection with such other business which may cause confusion, mistake or deception or which may dilute Party A's exclusive rights in and to the Products, Proprietary Equipment or Samples, and further agrees not to utilise or aid or participate in the use of any designation of origin or description or representation which falsely suggests or represents an association or connection with Party A.

If the Vessel comes into collision with another ship as a result of the negligence of the other ship and any act, neglect or default of the Master, Mariner, Pilot or the servants of the Carrier in the navigation or in the management of the Vessel, the owners of the cargo carried hereunder will indemnify the Carrier against all loss or liability to the other or non- carrying ship or her Owners in so far as such loss or liability represents loss of, or damage to, or any claim whatsoever of the owners of said cargo, paid or payable by the other or non-carrying ship or her Owners to the owners of said cargo and set-off, recouped or recovered by the other or non-carrying ship or her Owners as part of their claim against the carrying Vessel or Carrier.

If the vessel comes into collision with another vessel as a result of the negligence of the other vessel and any act, negligence or default of the Master, Mariner, Pilot or the servants of the Carrier in the navigation or in the management of the vessel, the Merchant will indemnify the Carrier against all loss or liability to the other or non-carrying vessel or her Owner in so far as such loss or liability represents loss of or damage to or any claim whatsoever of the owner of the said goods paid or payable by the other or non-carrying-vessel or her owner to the owner of said cargo and set-off, or recouped or recovered by the other or non-carrying vessel or her Owner as part of his claim against the carrying vessel or Carrier.

The execution, delivery , performance and completion of this agreement and the Investor Rights Agreement by each of the Warrantors do not and will not violate in any respect any provision of any law or regulation or any order or decree of any governmental authority, agency or court of any jurisdiction which is applicable to the Warrantor, any Group Company or any Associated Company; the laws and documents incorporating and constituting the Warrantor, any Group Company or any Associated Company prevailing as at the date of this agreement and as at Completion; or any mortgage, contract or other undertaking or instrument to which the Warrantor, any Group Company or any Associated Company is a party or which is binding upon it or any of its assets, and does not and will not result in the creation or imposition of any encumbrance on any of its assets pursuant to the provisions of any such mortgage, contract or other undertaking or instrument.

Whenever the Carrier or Master may deem it advisable, or in any case where the goods are destined .for ports or places at which the ship does not call, and particularly but not exclusively where the-Port of Discharge from Ship and Destination of the Goods named overpage are not the same, the Carriermay, without notice, but at its own expense, forward the whole or any part of the goods before or after loading at the original port of shipment, or any other place or places even though outside the scope of the voyage or the route to or. Beyond the port of discharge or the destination of the goods bywater, by land or by air, or by any combination thereof, whether operated by the Carrier or by others and whether departing or arriving or scheduled to depart or arrive,before or after the ship expected to be used for the transportation of the goods.

Whenever the Carrier or Master may deem it advisable, or in any case where the goods are destined for ports or places at which the ship does not call, and particularly but not exclusively where the Port of Discharge from Ship and Destination of the Goods named overpage are not the same, the Carrier may, without notice, but at its own expense, forward the whole or any part of the goods before or after loading at the original port of shipment, or any other place or places even though outside the scope of the voyage or the route to or beyond the port of discharge or the destination of the goods by water, by land or by air, or by any combination thereof, whether operated by the Carrier or by others and whether departing or arriving or scheduled to depart or arrive before or after the ship expected to be used for the transportation of the goods.
