1 In the event of actual or threatened suit against STR in relation to the services undertaken on behalf of the Customer or in relation to any of the Products or the Trade Mark or Patent of the Customer or of any allegation of infringement of any letters patent, registered design, trade mark or tradename, the Customer shall indemnify STR harmless from any liability, action, claim, demand, costs, charges and expenses arising there from or expense including solicitors fees, counsel's fees in defending such action Provided Always that the Customer will at its own election either effect any settlementor compromise or at its own expense defend any such action or proceeding and the Customer shall pay the costs of any settlement or compromise effected.

Provider agrees that: it shall defend, hold harmless and indemnify Recipient, its successors and customers against any claims of infringement (including patent, trademark, copyright, industrial design right, or other proprietary right, or misuse or misappropriation of trade secret) and resulting damages and expenses including attorney's and other professional fees arising in any way in relation to Services or Deliverables contracted and expressly waives any claim against Recipient that relates to infringement arising out of compliance with Recipient's specifications;(b Recipient or Recipient's subcontractor has the right to repair, rework, or rebuild the specific Deliverables delivered under this contract without payment of any royalty to Provider; unless otherwise expressly authorized by Recipient in writing, Services and Deliverables based on Recipient's drawings and/or specifications may not be used for any purpose other than for this contract or provided to any third party; and any intellectual property rights arising from this contract, including but not limited to, manuscripts, discoveries, designs, inventions or innovation written, conceived, discovered or made by Provider, its subcontractor, or employees, whether they can be copyrightable or patentable, shall belong to Recipient.

7 Subject as hereinafter provided, any such Receiver may, for the purpose of defraying any costs, charges, losses or expenses which shall be incurred by him in the exercise of the powers, authorities and discretion vested in him and for all other purposes hereof or any of them, raise and borrow money on the security of the Property or any part thereof or any interest therein either in priority to the moneys hereby secured and the security hereby constituted or otherwise and at such rate of interest and generally on such terms and conditions as he may think fit and no person lending any such money shall be concerned to enquire as to the propriety or purpose of the exercise of this power or to see to the application of any moneys so raised or borrowed provided however that a Receiver shall not exercise this present power without first obtaining the prior written consent of the Lender

2 Aids to Interpretation In these Terms and Conditions and in the Contract Details, unless the contrary intention appears; words denoting the singular include the plural and vice versa; a reference to any one of an individual, corporation, partnership, joint venture, association, authority, trust or government includes any other of them; the headings are for convenience only and do not affect interpretation; a reference to any instrument (such as a deed, agreement or document) is to that instrument (or, if required by the context, to a part of it) as amended, notated, substituted or supplemented at any time and from time to time; a reference to a Party is a reference to a party to the Agreement and includes that Party's executors, administrators, successors and permitted assigns; a reference to a clause or attachment is to a clause (including sub-clause, paragraph, sub-paragraph or further subdivision of a clause) or attachment of or to these Terms and Conditions; a reference to any legislation or legislative provision includes any statutory modification or re-enactment of, or substitution for, and any subordinate legislation under, that legislation or legislative provision; where an expression is defined, another part of speech or grammatical form of that expression has a corresponding meaning; a reference to "US$" or "US Dollars" is a reference to the currency of the United States of America.

3 Enter into and upon and take possession of the Property or any part thereof (and for such purpose take any legal proceedings), and thenceforth to hold, possess and enjoy the same and to receive the rents and profits thereof without any lawful interruption or disturbance by the Borrower or any other person and/or (subject to any lease or tenancy granted by the Borrower with the Lender's prior written consent) let or lease the same or any part thereof at such rent, for such period and upon such terms and conditions as the Lender shall think fit and appoint any person at such reasonable and proper remuneration as the Lender shall determine to collect the rents and profits of the Property on behalf of the Lender, and surrender and accept the surrender of leases or tenancies of the Property

The goods shall be liable for all expense of mending, cooperage, baling or reconditioning of the goods or packages and gathering of loose contents of packages also for any payment, expense,fine, dues, duty, tax, impost, loss, damage or detention sustained or incurred by or levied upon the Carrieror the ship in connection of the goods,.howsoever caused, including any action or requirement of any government or governmental authority or person purporting to act under the authority thereof, seizure under legal process or attempted seizure, incorrect or insufficient marking, numbering or addressingof packages or description of the contents, failure of the shipper to procure consular, Board of Health or other certificates to. accompany the goods or to comply with laws or regulations of any kind imposed with respect to the goods by the authorities at any port or place or any act or omission of theshipper or consignee.

The goods shall be liable for all expense of mending, cooperage, baling or reconditioning of the goods or packages and gathering of loose contents of packages; also for any payment, expense, tine, dues, duty, tax; impost, loss, damage or detention sustained or incurred by or levied upon the Carrier or the ship in connection of the goods, howsoever caused, including any action or requirement of any government or governmental authority or person purporting to act under the authority thereof, seizure under legal process or attempted seizure, incorrect or insufficient marking, numbering or addressing of packages or description of the contents, failure of the shipper to procure consular, Board of Health or other certificates to accompany the goods or to comply with laws or regulations of any kind imposed with respect to the goods by the authorities at any port or place or any act or omission of the shipper or consignee.

16 During the continuance of this security the Borrower shall not assign, mortgage, charge or otherwise dispose, part with possession or make any arrangement for the sharing of the Property or any part thereof or any interest therein or accept surrender of any lease or tenancy thereof or cause or permit any second or further legal charge or mortgage to be effected or charging order to be created on the Property or in any way encumber assign or otherwise dispose of the equity of redemption therein or diminish, jeopardise or prejudice the security hereby created to the Lender or permit the same to be done without the prior written consent of the Lender and then only in accordance with such conditions as the Lender may stipulate in such consent
