Seller agrees to indemnify on demand buying agent and the affiliates of buying agent (collectively,the "Indemnitees",which term shall also mean the directors ,officers,employees and agents of buying agent and such affiliates) and hold the indemnitees harmless from all liabilities,claims,suits,losses,expenses,penalties,damages(including consequential damages),fees(including attorneys' fees),interest and actions which may be made or brought against or suffered or incurred by any indemnitee arising from or in any way related to a breach by seller of any of the agreements,covenants,warranties,representations,guarantees,certifications,and obligations made or undertaken by seller in these terms and conditions.
